  • DEAL DESCRIPTION:

    Vitale assisted NewPrinces S.p.A. (“NewPrinces”) in the acquisition of the Italian infant and specialty food business of Heinz Italia S.p.A. (the “Company”).

    The transaction involves the acquisition by NewPrinces of the infant food brands Plasmon, Nipiol, and Dieterba, as well as the medical nutrition brands Aproten and Biaglut. The perimeter also includes Kraft Heinz’s production facility in Latina, which employs approximately 300 people and manufactures around 1.8 billion biscuits annually for the Plasmon brand. The perimeter of the acquisition generated revenues of approximately €170 million and EBITDA of €17 million in 2024. The transaction is expected to close by the end of 2025, subject to regulatory approvals.

    The Company is one of the leading players in Italy in the baby food and specialty nutrition sector, with a portfolio of historic brands and a consolidated leadership position across key segments. In particular, Plasmon is the No. 1 baby food brand in Italy, with an overall market share of approximately 24%, including a 73% share in baby biscuits, 35% in baby food jars, and 40% in other categories. Nipiol is the third-largest brand in the Italian market. 

    The acquisition allows NewPrinces to significantly strengthen its position in a high-margin strategic segment, generating industrial, commercial and innovation synergies. In particular, the transaction will enable the Group to leverage its integrated R&D center, expand the product range (including new formats and premium/organic lines), accelerate the international growth of the Plasmon brand, and optimize production capacity, including through the internalization of the entire liquid milk and infant formula line at the Ozzano Taro facility.

    NewPrinces is an Italian food and beverage company established in 2024 through the merger of Newlat Food and Princes Limited. With 31 production sites across Europe, over 30 brands including Princes and Napolina, and annual revenues of approximately €2.8 billion, NewPrinces is active across several categories including dairy, pasta, bakery, baby food, and medical nutrition.

    Vitale acted as financial advisor to NewPrinces, providing support in the structuring of the transaction and the negotiation phases.
