Vitale assisted Banca Privata Leasing in connection with the agreement executed with Next.us, concerning the sale by Privata Holding of 83% of the company’s share capital.

Reggio Emilia, 31 March 2026 – Privata Holding S.r.l., a company belonging to the industrial group of the Spallanzani family, and Next.us S.p.A., a company of the group controlled by Cav. Alberto Di Tanno, announce that, following the execution on 21 September 2025 of a preliminary sale and purchase agreement relating to the transfer of an 83% stake in the share capital of Banca Privata Leasing S.p.A., the closing of the transaction has been completed today.

Banca Privata Leasing S.p.A., established in 1987 as Privata Leasing S.p.A., controls ADV Finance S.p.A. and ADV Family S.r.l., both operating in the salary-backed loan (cessione del quinto) sector.
The decision to sell the controlling stake in the bank is part of the Spallanzani family’s long-term strategy, aimed at strengthening and focusing its commitment on the development of its industrial activities in the steel sector.

For the purposes of the transaction:
•    Banca Privata Leasing S.p.A. was assisted by financial advisor Vitale & Co (Dr. Gaia Mazzalveri) and legal advisor Giliberti Triscornia e Associati (Avv. Elena Pierini);
