Ferrero Group has announced the acquisition of Fresystem, leading Italian company active in the frozen bakery industry and in the "Italian breakfast".
Fresystem, established in 1983 and acquired by the Simioli family in 1991, represents a point of reference for the industry. The company, which in 2021 had a turnover of 60 million euros, operates in Italy through its production site located in Caivano (Naples). Fresystem both produces and distributes Cupiello-branded products and operates as a third-party manufacturer.
Fresystem's strength lies in its use of high-quality, premium ingredients and advanced know-how in natural leavening, combined with exclusive production, process and dough procedures capable of handling fresh sourdough (“lievito madre”).
The acquisition is part of Ferrero's strategic growth plan in the sweet bakery market and is positioned in a high-potential segment.
The deal consolidates Ferrero's position in Italy, which remains a strategic market for the Group in terms of both production and sales network. The Caivano plant becomes Ferrero's second production plant in Campania after the historic Sant'Angelo dei Lombardi (Avellino) plant.
Vitale acted as financial advisor to Fresystem shareholders offering support in the structuring of the transaction, in the negotiation phases and in the coordination of due diligence activities.
